GENERAL TERMS AND CONDITIONS

(hereinafter referred to as the „GTC”)

1. The Scope of the GTC

The scope of the present GTC includes the legal relationship entered into between GE FOC I Ingatlanhasznosító Korlátolt Felelősségű Társaság (registered seat: 1134 Budapest, Váci út 33., company registration number: 01-09-308903; hereinafter referred to as the “Issuer”) issuing gift vouchers (hereinafter referred to as the “Premier Gift Card”) and the person applying for the Premier Gift Card (hereinafter referred to as the “Contracting Party”) and the respective owner and user of such card (hereinafter referred to as the “User”) in relation to the application, uploading and use of Premier Gift Card.

2. The Application for and the Uploading of the Premier Gift Card

2.1. Subject to prior registration, the Premier Gift Card may be applied for and uploaded at the information desk of Premier Outlet (H-2051 Biatorbágy, Budaörsi út 4).

2.2. The Contracting Party shall be entitled to apply for the Premier Gift Card either in their own name or for any other person designated by the Contracting Party. Should the identity of the Contracting Party and the User be different, the data of both of them will be recorded during the prior registration. The Contracting Party shall represent and warrant that the information provided in this regard qualifies correct, accurate and complete, and that it is duly authorised to provide the data of the third party concerned. The privacy policy in relation to the processing of personal data recorded during the registration is available on the www.premier.hu website.

2.3. By applying for the Premier Gift Card, the Contracting Party acknowledges that it is aware of the provisions of this GTC and accepts such provisions.

2.4. Simultaneously with the application for the Premier Gift Card, the Contracting Party shall upload the Premier Gift Card.

2.5. The Premier Gift Card may only be uploaded once during the application. The minimum amount that may be uploaded onto the Premier Gift Card is HUF 5,000, while the maximum amount is HUF 200,000.

3. The handling of the amount uploaded on the Premier Gift Card

3.1. The Issuer warrants that during the Validity Period, it will manage the amount uploaded on the Premier Gift Card in accordance with the instructions of the Contracting Party or the User and such amount will be kept available within the Validity Period for the purposes of the above instructions concerning the use of Premier Gift Card at all time during the opening hours of Premier Outlet.

3.2. The amount uploaded on the Premier Gift Card may not be converted into or exchanged for cash and no interest shall be paid or credited by the Issuer on such amount.

3.3. The Premier Gift Card is credited with the uploaded amount and debited during its use in HUF.

4. The use of Premier Gift Card

4.1. The Premier Gift Card may only be used for the purchase of goods sold and the services provided within the stores of Premier Outlet participating in the Premier Gift Card Programme (hereinafter referred to as the “Accepting Places”).

4.2. The list of Accepting Places is posted at the information desk of Premier Outlet, and is also available on the www.premier.hu website.

4.3. Purchases with the Premier Gift Card shall be governed by the general terms and conditions of the Accepting Place concerned. The Issuer does not warrant anything concerning the products and services purchased with the Premier Gift Card and it shall not be held liable for such products or services and the breach of contracts or other unlawful conducts committed by the Accepting Place concerned.

4.4. Subsequent to the successful upload of the Premier Outlet Gift Card, it may be used as a balance of either a part or the whole purchase price of products or services intended to be purchased.

4.5. The amount of the Premier Gift Card may be fully used without any deduction, but solely to the extent of such amount.

4.6. The Premier Gift Card may only be valid for 12 months following the date of uploading (hereinafter referred to as "Validity Period"). The Premier Gift Card may only be used within the Validity Period.

4.7. Neither the Issuer nor the Accepting Places are required to check whether the User has legitimately accessed the Premier Gift Card concerned by verifying the identity of the User or in any other way. The Issuer shall not be held liable for damages arising from the unlawful use of the Premier Gift Card.

5. The redemption and invalidation of the Premier Gift Card

5.1. With the exception of clauses 5.3 and 5.4 of this GTC, the Premier Gift Card shall not be redeemed following the expiry of the Validity Period; if the balance of the Premier Gift Card is reduced to HUF 0, it will be automatically invalidated.

5.2. Following the invalidation of the Premier Gift Card, the Premier Gift Card may no longer be used, and the Issuer will not redeem the amount uploaded on the Premier Gift Card.

5.3. After checking the identity of the relevant Contracting Party or User, if such identity is in accordance with the data provided by it during the preliminary registration process, Premier Gift Cards lost or stolen during their Validity Periods may be requested to be blocked at the information desk of Premier Outlet, and furthermore, simultaneously with the blocking of the Premier Gift Card concerned, the amount available on the Premier Gift Card concerned on the date of blocking is credited by the Issuer to a new Premier Gift Card. The provisions set out in clause 5.4 of this GTC in relation to the charges of card replacement shall apply mutatis mutandis.

5.4. Should a Premier Gift Card be so damaged during its Validity Period that it will be no longer suitable for use, the Issuer will replace the Premier Gift Card concerned by transferring the balance uploaded onto it to a Premier Gift Card at the information desk of Premier Outlet upon the request of the Contracting Party or the User. The Validity Period of such new Premier Gift Card shall commence on the date of uploading of the originally requested Premier Gift Card. The replacement fee of the Premier Gift card is HUF 2,000/piece.

5.5. If the balance of the valid Premier Gift Card decreases below HUF 1,500, the Issuer will notify the Contracting Party or the User via e-mail at the e-mail address recorded during the prior registration process.

6. Handling of complaints

6.1. The Issuer handles complaints relating to the application, upload, use and invalidation of the Premier Gift Card, as well as the redemption and the blocking of such cards as per clause 5.3 of this GTC, at the information desk of Premier Outlet.

6.2. In the case of complaints relating to the credit or the balance of the amount uploaded on Premier Gift Cards, the receipt received during the application and each use of such cards must be presented.

6.3. For the avoidance of doubt, the Issuer hereby advises that in the case of any complaint which relates to the purchased products or services, the User shall contact the Accepting Place concerned.

7. Miscellaneous

7.1. The present GTC and its interpretation shall be governed by the laws of Hungary.

7.2. Should any provision of the present GTC qualify as or become invalid or unlawful, such provision shall be deemed unrelated to this GTC and shall not affect or impair the validity, legality or the applicability of any other provision of this GTC.

7.3. This GTC shall be effective as of its publication on the www.premier.hu website or as of the date of posting it at the information desk of Premier Outlet.

7.4. The Issuer reserves its right to change the content of the present GTC at any time, in which case the amended GTC shall also be effective as of the publication on the www.premier.hu website or as of the date of posting it at the information desk of Premier Outlet.
